Acceptance
- Initial client meetings
- Name search
- The extensive due diligence process performed as a matter of law for any new assignment
- Preparing statutes and other official documentation in coordination with a local notary
- Organising a declaration of acceptance from the auditors
- Organising declarations of acceptance from directors/officers
- Arranging a notary
- Providing founding shareholders and attending the incorporation meeting
- Handling the registration of the company at the Trade Registry
- Dealing with incidental expenses including fees for local agents
- Setting up local bank accounts – including due diligence paperwork
- Arranging for name plates
Administration and bookkeeping
- Providing nominee shareholders
- Provision of director/manager/procurist
- Providing a domicile
- Maintaining the corporate records (including the shareholders’ register and the minutes of the board and shareholders’ meetings)
- Supervising matters relating to the local registration with the Trade Registry
- Accepting and returning capital
- Conducting and recording minutes for annual shareholder meetings
- Maintaining and updating statutory files including the filing of related correspondence, statements and documents
- Bookkeeping and tax filings according to the required standards (IFRS/GAAP)

Termination
- In case of a dissolution, providing a liquidator and all the usual work required to wind up a company
- In case of a termination of our assignment where the company continues, doing everything necessary to ensure a seamless handover to the new service provider
