Trustees can play an important role in the corporate world, facilitating transactions by acting as a trustee/agent for one or more parties entering into financial or other commercial agreements. The trustee acts under a trustee agreement as a contracting party to the contract itself, and is also the party of record in relation to any public filings or registrations. This can bring several advantages:
- It protects the confidentiality of the parties giving the mandate to the trustee.
- It facilitates joint venture investments or other transactions without the need to set up a special purpose vehicle, which eliminates an area of significant expense.
- It lets joint venture partners vary their participation in a project after it has been concluded contractually without having to re-execute key contracts.
- In relation to finance or investments, it allows a lead investor to syndicate and lay off its position both during and after the contractual process.
