Acceptance

  • Initial client meetings
  • Name check
  • The extensive due diligence process performed as a matter of law for any new assignment
  • Preparing statutes and other official documentation in coordination with a local notary
  • Company seal
  • Organising a registered office for the company
  • Organising local directors and a secretary, if required
  • Organising the registration of the company at the local Chamber of Commerce
  • Statutory registers
  • First board minutes
  • Fees and duties (assuming minimum share capital)
  • Dealing with incidental expenses, including fees for local agents
  • Setting up bank accounts – including due diligence paperwork

Administration and bookkeeping

  • Providing nominee shareholders (if requested)
  • Maintaining the corporate records (including the shareholders’ register and the minutes of the board and shareholders’ meetings)
  • Supervising matters relating to local registration with the Chamber of Commerce
  • Accepting and returning capital
  • Conducting and recording minutes for annual shareholder meetings
  • Maintaining and updating statutory files including the filing of related correspondence, statements and documents
  • Ongoing due diligence
  • Bookkeeping and tax filings
  • Payroll management if required

Termination

  • In case of a dissolution, providing a liquidator and all the usual work required to wind up a company
  • In case of a termination of our assignment where the company continues, doing everything necessary to ensure a seamless handover to the new service provider
